Mutual Non-Disclosure Agreement, “MNDA” is the agreement between you and Centre and contains important terms and conditions about confidential and/or proprietary information.
Master Service Agreement, “MSA” is the master agreement between you and Centre and contains important terms and conditions about your purchase of Hardware, Software and/or Services. This agreement is for an initial term of 12 months and auto-renews unless cancelled by you per terms and conditions within the agreement.
Master Data Protection Agreement, “MDPA” is the document that defines both the provider and client responsibilities for following external Privacy Regulations like EU GDPR, California’s CCPA, or New York’s NYDFS NYCRR.
Master Data Protection - Business Associate Agreement, “MDPA-BAA” is the document that defines both the provider and client responsibilities for following the Health Insurance Portability and Accountability Act, “HIPAA” laws.
Acceptable Use Policy, “AUP” for All Services is the document that sets the provider’s expectations for acceptable use of the environment.
Service Level Objectives, “SLO” for All Services is the document that sets response times, defines contacts, sets expectations for geographic coverage and dispatch rates, in-scope equipment, and hours of coverage.
Microsoft Cloud Volume Licensing Agreement is entered into between the entity you represent, or, if you do not designate an entity in connection with a Subscription purchase or renewal, you individually (“Customer”), and Microsoft Corporation (“Microsoft”).
Microsoft SPLA – End User License Terms concerns use of Microsoft software, which includes computer software provided to by Centre Technologies and may include associated media, printed materials, and “online” or electronic documentation (individually or collectively “Licensed Products”). Centre Technologies does not own the Licensed Products and the use thereof is subject to certain rights and limitations.
Service Attachment, “SA” for Secure Managed Services is the document that defines how the services will be delivered, defines scope for monitoring and support services, customer responsibilities, customer obligations, network change coordination, suitability of existing environment, lists exclusions, term and termination and includes an appendix listing areas of International Coverage.
Service Attachment, “SA” for Secure Managed Services Express (SMS Express) is the document that defines how the services will be delivered, defines scope for monitoring and support services, remote access, customer responsibilities, customer obligations, network change coordination, suitability of existing environment, lists exclusions, provides detailed service descriptions for each cloud service, user credential responsibilities and restrictions, third-party services, backup operations, provider obligations and warranty, acceptable use and liability, confidentiality and data security, client obligations, suitability of existing environment, service fees, and term and termination and includes an appendix listing areas of International Coverage.
Service Attachment, “SA” for Cloud Services is the document that defines expectations for licensing, how the services will be delivered, defines scope for remote access, monitoring and management, provides detailed service descriptions for each cloud service, user credential responsibilities and restrictions, third-party services, backup operations, provider obligations and warranty, acceptable use and liability, confidentiality and data security, client obligations, suitability of existing environment, service fees, and term and termination.
Service Attachment, “SA” for Cloud Detection and Response (CDR) Services is the document that defines how the services will be delivered, defines scope for monitoring and support services, customer responsibilities, customer obligations, network change coordination, suitability of existing environment, lists exclusions, and term and termination.
Service Attachment, “SA” for Network Detection and Response (NDR) Services is the document that defines how the services will be delivered, defines scope for monitoring and support services, customer responsibilities, customer obligations, network change coordination, suitability of existing environment, lists exclusions, and term and termination.
Service Attachment, “SA” for Endpoint Detection and Response (EDR) Services is the document that defines how the services will be delivered, defines scope for monitoring and support services, customer responsibilities, customer obligations, endpoint change coordination, suitability of existing environment and devices, lists exclusions, and term and termination.
These terms only apply to legacy Architel customers whose existing SOWs and quotes were executed prior to Centre Technologies' acquisition of Architel LP on June 23, 2016. For all agreements, including but not limited to SOWs and quotes, which were executed after June 23, 2016, Centre's related agreements apply.
